These terms and conditions (“Terms”) govern the use of the graphic design, art direction and strategy services (“Services”) offered by Viviane Foutrel (“Freelancer”, “I”, “me”, or “my”) through the website [Website Name] (www.vivianefoutrel.com). By accessing or using the Website or Services, you (“Client”, “you”, or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Website or Services.

1. Scope of Services

The Services offered by the Freelancer include but are not limited to: graphic design, art direction, and strategy consulting. The specific scope of work for each project will be outlined in a separate agreement between the Freelancer and the Client (“Project Agreement”).

2. Fees and Payment

The fees for the Services will be outlined in the Project Agreement. Payment is due upon completion of the Services, unless otherwise agreed upon in the Project Agreement. The Freelancer reserves the right to terminate the Services and retain any payments if the Client fails to make timely payments.

3. Intellectual Property

The Client retains all intellectual property rights in any material provided to the Freelancer for the purpose of the Services. The Freelancer retains all intellectual property rights in any work product created by the Freelancer as part of the Services. Upon payment in full for the Services, the Freelancer grants the Client a perpetual, non-exclusive, non-transferable license to use the work product for the Client’s business purposes.

4. Confidentiality

The Freelancer agrees to maintain the confidentiality of all information provided by the Client in connection with the Services, unless required by law to disclose such information.

5. Termination

Either party may terminate the Services at any time upon written notice to the other party. Upon termination, the Client will pay the Freelancer for all Services completed up to the date of termination.

6. Disclaimer

The Services are provided on an “as is” basis. The Freelancer makes no warranties, express or implied, regarding the Services.

7. Indemnification

The Client agrees to indemnify and hold the Freelancer and its affiliates and agents harmless from any and all claims, damages, or expenses arising from the use of the Services.

8. Governing Law

These Terms and the Services shall be governed by and construed in accordance with the laws of Spain.

9. Changes to These Terms

The Freelancer reserves the right to update these Terms at any time. The Client is responsible for regularly reviewing these Terms. Continued use of the Services after any changes to these Terms shall constitute acceptance of those changes.

By accessing and using the Website and Services, you acknowledge that you have read and understood these Terms and agree to be bound by them.
